Cerved detects the ownership of the subject presented in the section “Holders with shares> 25%” through the mere calculation of the shares / shares held by way of ownership / usufruct / fiduciary registration by the resulting shareholders / shareholders having a direct or cumulative share> 25% of the share capital.
Beneficial owners are legally described as the physical person — or people — owning 25%+ of a company each. E.g. two people owning 20% each won’t be considered beneficial owners, whereas if the both own 30% they are both beneficial owners.
In particular, it is not possible to go further in the equity chain when one of the following types of companies is encountered:
- fiduciaries – according to their ATECO or other particular conditions
- companies listed in stock exchange, according to official InfoCamere data
- foreign companies
- companies not to be found in the official registry of Registro Imprese
In any case, any ownership of the company analyzed by the person indicated in the section must be carried out with adequate and in-depth verification procedures.
